These Terms & Conditions form a legal agreement between you (or the organisation you represent) and Emirates Compliance, and govern your access to and use of our website, platform, and related services. Please read them carefully — by using our services you agree to these terms.

By accessing or using our website or platform, or by clicking to accept these terms, you agree to be bound by them. If you do not agree, do not use our services. Our services are intended for businesses and their authorised users. You confirm that you are at least 18 years old and, where you act on behalf of an organisation, that you have authority to bind that organisation to these terms.
02 Definitions
- "Emirates Compliance", "we", "us" — BlackCat Group holdings L.L.C-FZ, a free zone company registered in Meydan Free Zone, Dubai, UAE, which operates the "Emirates Compliance" platform and trades under that name.
- "Services" — our website, the Emirates Compliance platform, and any related features, tools, and support we provide.
- "Customer" — the organisation that subscribes to the Services. "You" means the Customer and its Authorised Users.
- "Authorised User" — an individual the Customer permits to access the Services under its account.
- "Customer Data" — data, including personal data about the Customer's workers, that the Customer or its Authorised Users submit to the platform.
- "Subscription" — the plan, term, and fees under which the Customer is granted access to the Services.
03 The services
Emirates Compliance provides a workforce-management and labour-hire compliance platform, including features for worker onboarding, document and visa tracking, WPS payroll file generation, attendance, and reporting. We grant the Customer a non-exclusive, non-transferable right to access and use the Services during the Subscription term, solely for its internal business purposes and in accordance with these terms.
The Services are tools to help you manage compliance obligations; they are not a substitute for professional legal advice, and any informational content we publish (including labour-law guides) is provided for general information only — see Warranties & disclaimers.
04 Accounts & security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate registration information, keep it up to date, and notify us promptly of any unauthorised use or security incident. We may suspend access where we reasonably believe an account has been compromised or used in breach of these terms.
05 Subscriptions, fees & billing
Access to paid features is provided on a subscription basis at the fees and billing cycle shown at the time of purchase.
- Payment processor. Payments are processed securely by Stripe. By subscribing, you authorise us and Stripe to charge your payment method for the applicable fees. Your use of Stripe is subject to Stripe's terms and privacy policy.
- Auto-renewal. Subscriptions renew automatically for successive terms unless cancelled before the end of the current term. Renewal is charged to your payment method on file.
- Cancellation. You may cancel renewal at any time; cancellation takes effect at the end of the current paid term, and you retain access until then.
- Refunds. Except where required by law, all fees are non-refundable and payments are non-cancellable for the current term, including for any partial or unused portion of a subscription period.
- Taxes. Fees are exclusive of applicable taxes, including UAE VAT, which will be added where required.
- Price changes. We may change fees for future terms on 14 days' prior notice; continued use after the change takes effect constitutes acceptance.
- Late or failed payment. If a payment fails or is overdue, we may suspend or restrict access until amounts are paid.
- Free trials. If we offer a free trial, it lasts 14 days and, unless cancelled beforehand, may convert to a paid subscription at the end of the trial.
06 Acceptable use
You agree not to, and not to permit others to:
- use the Services unlawfully, or upload data you do not have the right to provide;
- infringe the rights of others, or upload malicious, harmful, or unlawful content;
- attempt to gain unauthorised access to, disrupt, or interfere with the Services or their security;
- copy, modify, reverse-engineer, resell, or create derivative works of the Services except as permitted by law;
- use the Services to build a competing product, or to send unsolicited communications.
07 Customer data & privacy
As between the parties, the Customer owns its Customer Data. The Customer grants us a limited licence to host, process, and use Customer Data solely to provide and support the Services. Our handling of personal data is described in our Privacy Policy.
Where the platform processes personal data about the Customer's workers, the Customer is the data controller and Emirates Compliance is the data processor, acting on the Customer's documented instructions under a Data Processing Agreement, which is incorporated into these terms by reference and available on request. The Customer is responsible for the accuracy and lawfulness of Customer Data and for providing any notices to, and obtaining any consents from, its workers required by law. WPS and compliance outputs generated by the platform depend on the accuracy of the data you provide.
08 Intellectual property
The Services, including all software, design, text, and trademarks, are owned by Emirates Compliance or its licensors and are protected by law. Except for the limited rights expressly granted to you, no rights are transferred. If you provide feedback or suggestions, you grant us a perpetual, royalty-free licence to use them to improve the Services.
09 Confidentiality
Each party may receive confidential information of the other. Each party agrees to protect the other's confidential information with reasonable care, to use it only to perform under these terms, and not to disclose it except to personnel and advisers who need it and are bound by confidentiality obligations, or where disclosure is required by law.
10 Warranties & disclaimers
The Services and any informational content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted or error-free, or that any particular compliance, legal, or business outcome will be achieved.
Not legal advice. Any labour-law or compliance content we publish (including guides and our compliance hub) is general information only, is not legal advice, and does not create a lawyer–client relationship. Laws change and content may not reflect the latest position. You should consult a qualified UAE-licensed legal professional before acting on any such content, and we are not liable for actions taken or not taken in reliance on it.
11 Availability, maintenance & force majeure
We aim to keep the Services available but do not guarantee any particular uptime unless a separate service-level agreement is agreed in writing. We may perform scheduled or emergency maintenance and may modify or discontinue features. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including internet or infrastructure failures, acts of government, or force majeure events.
12 Limitation of liability
To the fullest extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Services or these terms, even if advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Services or these terms will not exceed the total fees paid by the Customer to Emirates Compliance in the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law.
13 Indemnification
You agree to indemnify and hold harmless Emirates Compliance from and against claims, losses, and reasonable costs arising from your breach of these terms, your misuse of the Services, or your Customer Data (including a claim that Customer Data or its processing infringes the rights of a third party or breaches applicable law). Any indemnity we provide, including in respect of a claim that the Services infringe a third party's intellectual-property rights, will be set out in the applicable order or agreement. The indemnifying party's obligations are conditional on prompt notice, reasonable cooperation, and control of the defence.
14 Term, suspension & termination
These terms apply for as long as you use the Services or have an active Subscription. Either party may terminate for material breach that is not cured within a reasonable period after notice. We may suspend or terminate access immediately for non-payment, security risks, or unlawful use. On termination, your right to use the Services ends; you may request export of your Customer Data within a reasonable period, after which we may delete it in accordance with our Privacy Policy and our agreement with you. Terms that by their nature should survive termination will survive.
15 Changes to these terms
We may update these terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated terms.
16 Governing law & dispute resolution
These terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai.
The parties will first attempt in good faith to resolve any dispute amicably. If a dispute cannot be resolved, it shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
17 General
- Entire agreement. These terms, together with any order and referenced policies, are the entire agreement between the parties on their subject matter.
- Assignment. You may not assign these terms without our consent; we may assign them in connection with a reorganisation or transfer of our business.
- Severability. If any provision is held unenforceable, the remaining provisions continue in effect.
- Waiver. Failure to enforce a provision is not a waiver of it.
- No third-party rights. These terms do not create rights for any third party.
